Abstract
Board of Directors is required to perform his duty in the best manner under the triad of fiduciary duties: good faith, duty of care, and duty of loyalty. The Business Judgment Rule protects the Company's Board of Directors as a risk taker in the organization, that decisions are made in accordance with law, carried out in good faith, carried out with the right purpose, such decisions have rational grounds, carried out with care as is done by a person who is cautious enough about similar judgments and conducted in a way that’s the best for the company. This journal discusses the application of the Business Judgment Rule in the United States, Japan, and judiciary decisions in Indonesian courts. It is known that the application of the BJR concept that is rapidly developing in the United States is adopted in the courts in Japan with an emphasis on "rational decisions", while in Indonesia it emphasizes that there are no injustices, conflicts of interest, unlawful acts and deliberate mistakes.

Bahasa Abstract
Direksi pada dasarnya dituntut untuk mengelola perusahaan sebaik mungkin dibawah tugas tiga serangkai fiduciary duty : good faith, duty of care, dan duty of loyalty. Business Judgment Rule hadir melindungi Direksi Perseroan sebagai risk taker dalam mengelola perseroan dengan ketentuan bahwa keputusan diambil sesuai hukum yang berlaku, dilakukan dengan iktikad baik, dilakukan dengan tujuan yang benar, putusan tersebut mempunyai dasar – dasar yang rasional, dilakukan dengan kehati – hatian seperti dilakukan oleh orang yang cukup hati – hati pada posisi yang serupa serta dilakukan dengan cara yang layak dipercayainya sebagai yang terbaik bagi perseroan. Penulisan jurnal ini membahas mengenai penerapan Business Judgment Rule di Amerika Serikat, Jepang, dan dalam putusan di pengadilan Indonesia. Dari hasil penulisan ini diketahui bahwa penerapan konsep BJR yang berkembang pesat di Amerika Serikat, diadopsi dalam pengadilan di Jepang dengan menekankan “keputusan yang rasional”, sedangkan di Indonesia menekankan pada tidak ada unsur kecurangan, benturan kepentingan, perbuatan melawan hukum dan kesalahan yang disengaja.
